1. Acceptance of Terms

By accessing or using Shamp’s services (“Services”), you agree to these Terms of Service (“TOS”). If you do not agree, do not use the Services.

2. Definitions

“Shamp” means Shamp, Inc. and its affiliates.

“Customer” or “you” means the individual or entity that subscribes to or uses the Services.

“Content” means any data, text, audio, video, or materials you upload or generate through the Services.

“Subscription” means your paid plan for the Services.

3. Account Registration

Eligibility. You must be at least 18 years old and have the legal ability to enter into contracts.

Account Setup. Provide accurate information when creating an account.

Credentials. You are responsible for safeguarding your login credentials and all activity under your account.

4. Subscriptions & Fees

Plans. Shamp offers multiple subscription tiers (Free, Hobby, Pro, Ultra, Enterprise) with specified credit allowances.

Billing. Payment is due monthly or annually in advance. We accept major credit cards.

Renewal. Subscriptions auto-renew until canceled.

Cancellation. You may cancel anytime; cancellation applies to next billing cycle.

Refunds. All fees are non-refundable except as required by law.

5. License Grant

Shamp grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes in accordance with these TOS.

6. Use Restrictions

You agree not to:

• Reverse-engineer or decompile the Services.
• Use the Services to infringe others’ rights.
• Exceed your plan’s run allowance without adjusting your subscription.
• Interfere with the operation of the Services.

7. Customer Data

Ownership. You retain all rights to your Content.

Permissions. You grant Shamp a license to use and process your Content to provide the Services.

Anonymized Data. Shamp may use aggregated, anonymized data to improve Services.

8. Privacy & Security

Privacy Policy. Our Privacy Policy explains how we collect, use, and share your data.

Security Measures. Shamp uses industry-standard measures (encryption, access controls) to protect your data.

9. Warranties & Disclaimers

Service Warranty. Shamp will provide the Services in a professional manner consistent with industry standards.

Disclaimer. Except as expressly provided, the Services are provided “AS IS” without warranties of any kind.

10. Limitation of Liability

To the fullest extent allowed by law, Shamp’s total liability under these TOS is limited to the fees you paid in the 12 months preceding the claim. Shamp is not liable for indirect, incidental, or consequential damages.

11. Indemnification

You will indemnify and hold harmless Shamp and its officers from any claims arising out of your breach of these TOS or your misuse of the Services.

12. Termination

Termination by You. You may cancel your subscription at any time.

Termination by Shamp. We may suspend or terminate your account for breach of these TOS.

Effect. Upon termination, your access to the Services ends. Shamp may delete your data per the Privacy Policy.

13. General Provisions

Governing Law. California law governs these TOS.

Dispute Resolution. Any dispute will be resolved in the courts of San Francisco, CA.

Amendments. Shamp may update these TOS; changes will be posted with a new Effective Date.

Entire Agreement. These TOS, the Privacy Policy, and any order forms constitute the entire agreement.
